 美国投资移民(美国EB-5移民)详细介绍

一、关于美国投资移民/美国EB-5移民
美国投资移民是美国新移民法中职业移民项的第五类优先移民EB5"(Employment Based Fifth Preference)移民签证,有关投资移民的法律是于1991年生效实施。
美国政府并于 1993 年在 EB-5 移民法规中特别增设了一种"地区中心移民方案" (Regional Center Pilot Program), 将移民申请条件中对"须直接创造十个就业机会"的规定放宽为"直接或间接创造十个就业机会"。使EB-5 成为美国所有移民类别中,申请核准时间最短、资格条件限制最少的一条便捷通道。  
为了使投资移民可以更为吸引投资者,1996年开始,移民局放松了不少条件,投资的方式和聘用工人的计算方式等,使投资者可以透过美国现有的投资基金进行投资,可以用借款的方式减少真正投资的数额等。
二、美国投资移民的申请人条件/美国投资移民申请条件和要求/什么样的人可以申请EB-5?
美国EB-5投资移民的申请条件
EB5对申请人的资格条件制定得相当宽松,投资人无须受任何商业背景、年龄、教育程度以及语言能力的条件限制,只要证明其投资资金的来源合法即可。而且此资金不要求要通过自己经营企业所得,也可以是继承或者赠与。此移民类别的特色是"全家移民",即投资人、其配偶和未满21岁之未婚子女均可以同时申请移民。
  (1)投资人必须年满 21 岁
  (2)投资人不必有任何学历,经商或工作经验的背景
  (3)投资人必须拥有50万美金的资产证明(不须由申请人本身累积取得,赠与、继承等方式亦都可以,但必须是取自合法正当的途径。)
  (4)投资人必须已经或正积极投入规定的投资金额
  (5)投资人身体健康,无犯罪记录

申请美国EB-5投资移民的具体要求有:
    (1) 建立一个新的商业企业;或购买一个现有的企业,加以改造或重组以成为一个新的商业企业;或扩大原有的企业使其净资产和雇佣人员达到原来的140%,或投资使一个困难企业,就是过去一到两年中净资产减值20%的企业,保住现存所有雇员的职位。投资必须用真实资金,包括现金,机器设备,存货,及其它财产。如果是用银行贷款投资,必须是用投资人本人的私人财产作?抵押而得到的贷款。投资人与投资的企业之间的债券,票据,或借款等都不是投资。如果投资人和投资企业之间有任何承诺保证投资能够收回或获利的,都不算为投资。
   (2) 投资额要达到一百万美元。在某些特定地区可以投资50万美元,这些特定地区是指达到美国全国失业率1.5倍的地区或某些特定的农村地区。
   (3) 为不少于10个美国公民或绿卡持有人创造全职的就业机会。移民法对投资移民中"全职员工"的定义是一星期至少工作超过35个小时的员工。如果投资一个在过去一到两年中净资产减值20%的困难企业,要在随后的至少两年内保住所有的现有雇员的职位。
三、美国EB-5投资移民可以投资的企业类型有哪些?

(A)新的商业企业的投资,包括创新企业或重组旧企业。
(B)扩张现有的企业,可以投资或注资以增加资产或员工四成以上,也就是注资后,资产或员工人数,都为原有规模的一点四倍。
(C)困难企业之投资,企业在注资之前的12到14个月,损失了资产价值的五分之一。
美国的投资移民是投资及实际的经营及投资,但投资者不需要有任何经营的经验或教育程度,唯一的条件就是有足够的资金。
新企业必须保证能至少运行两年以上,如果新企业连续亏损难以维持二年,投资人可能会得不到移民绿卡。
四、美国投资移民EB-5的局限性和弊端?     
     第一,在美国投资和申请永久居留身份后,该投资者在世界上其他地方的收入也必须在美国纳税,这是许多人所不愿接受的。
     第二,投资人不能先申请移民签证而后投资,而是在确实进行了投资之后才能申请签证。即使移民局很快批准其投资移民的申请,只是一个有条件限制的临时绿卡。两年之后,移民局对其投资项目进行考查,合格者方能将临时绿卡转为永久绿卡,倘若投资人在这两年中投资失败,投资人不仅丧失了大笔资金,而且还可能丧失永久居留权身份。

五、美国EB-5投资移民项目有哪些?EB-5项目分类     
按照EB-5投资项目的目的划分:

移民型项目(以资金安全为基础,以移民为目的)
  以美国的宾夕法尼亚州(宾州)和美国南达科他州(南州)为代表的一批EB-5经济特区投资移民项目一般由美国官方机构、专业基金公司共同发起,这些项目基于美国移民法案的精神,为广大海外投资人提供移民美国的机会。这些投资移民项目基本上都是由政府部门协同运作,在当地挑选信用等级良好、历史悠久的实力派公司进行参与,并由这些公司以自有资产为海外投资人提供等额或超额抵押担保,以保证投资人的资金安全。
    美国的投资移民申请人大都是以移民为最终目的,并不是为了通过投资追求未来的超额利润,大家在意的是顺利移民和投资款项的安全。因此,以宾州、南州为代表的这些项目,都是以借贷主体的运作模式,并附有大额的投资担保物。这和美国投资移民申请人的目标相一致,同时也是这两个州的几大项目获得中国投资者高度认可的重要原因。

融资型项目(以移民为卖点,以融资为目的)
  美国EB-5项目的大热自然免不了有人进来浑水摸鱼。EB-5慢慢出现了一些借机融资的项目。从金融危机中逐步复苏的美国经济,对海外热钱的渴望异常强烈,这也使得越来越多的美国企业推出名目繁多的投资项目。从投资移民申请人的利益角度看,这些项目从实质上来说,更侧重"融资",而非"移民"。这一类项目中,投资人将资金注入到美国本土企业,通过一定周期的运作,有可能会获得一定的利润回报(当然也有可能亏损)。
  投资者在选择的过程中需要注意两点:第一,详细考察所投资的项目在未来的运作中能否做到稳健经营;第二,所投资项目是否有抵押担保,抵押担保品是否能支付经营不善带来的亏损赔偿。这些项目一般带有很强的投资性质,有可能在经营中获取巨额利润,但也可能血本无归,适合激进型的投资者,而稳健型的投资者最好别轻易选择

 

EB-5 Immigrant Investor

Visa Description

USCIS administers the Immigrant Investor Program, also known as "EB-5," created by Congress in 1990 to stimulate the U.S. economy through job creation and capital investment by foreign investors. Under a pilot immigration program first enacted in 1992 and regularly reauthorized since, certain EB-5 visas also are set aside for investors in Regional Centers designated by USCIS based on proposals for promoting economic growth.

All EB-5 investors must invest in a new commercial enterprise, which is a commercial enterprise:

  • Established after Nov. 29, 1990, or
  • Established on or before Nov. 29, 1990, that is:
    1. Purchased and the existing business is restructured or reorganized in such a way that a new commercial enterprise results, or
    2. Expanded through the investment so that a 40-percent increase in the net worth or number of employees occurs

Commercial enterprise means any for-profit activity formed for the ongoing conduct of lawful business including, but not limited to:

  • A sole proprietorship
  • Partnership (whether limited or general)
  • Holding company
  • Joint venture
  • Corporation
  • Business trust or other entity, which may be publicly or privately owned

This definition includes a commercial enterprise consisting of a holding company and its wholly owned subsidiaries, provided that each such subsidiary is engaged in a for-profit activity formed for the ongoing conduct of a lawful business.

Note: This definition does not include noncommercial activity such as owning and operating a personal residence.

Job Creation Requirements

  • Create or preserve at least 10 full-time jobs for qualifying U.S. workers within two years (or under certain circumstances, within a reasonable time after the two-year period) of the immigrant investor's admission to the United States as a Conditional Permanent Resident.
  • Create or preserve either direct or indirect jobs:
    • Direct jobs are actual identifiable jobs for qualified employees located within the commercial enterprise into which the EB-5 investor has directly invested his or her capital.
    • Indirect jobs are those jobs shown to have been created collaterally or as a result of capital invested in a commercial enterprise affiliated with a regional center by an EB-5 investor. A foreign investor may only use the indirect job calculation if affiliated with a regional center.

Note: Investors may only be credited with preserving jobs in a troubled business.

A troubled business is an enterprise that has been in existence for at least two years and has incurred a net loss during the 12- or 24-month period prior to the priority date on the immigrant investor's Form I-526. The loss for this period must be at least 20 percent of the troubled business' net worth prior to the loss. For purposes of determining whether the troubled business has been in existence for two years, successors in interest to the troubled business will be deemed to have been in existence for the same period of time as the business they succeeded.

A qualified employee is a U.S. citizen, permanent resident or other immigrant authorized to work in the United States. The individual may be a conditional resident, an asylee, a refugee, or a person residing in the United States under suspension of deportation. This definition does not include the immigrant investor; his or her spouse, sons, or daughters; or any foreign national in any nonimmigrant status (such as an H-1B visa holder) or who is not authorized to work in the United States.

Full-time employment means employment of a qualifying employee by the new commercial enterprise in a position that requires a minimum of 35 working hours per week. In the case of the Immigrant Investor Pilot Program, "full-time employment" also means employment of a qualifying employee in a position that has been created indirectly from investments associated with the Pilot Program.

A job-sharing arrangement whereby two or more qualifying employees share a full-time position will count as full-time employment provided the hourly requirement per week is met. This definition does not include combinations of part-time positions or full-time equivalents even if, when combined, the positions meet the hourly requirement per week. The position must be permanent, full-time and constant. The two qualified employees sharing the job must be permanent and share the associated benefits normally related to any permanent, full-time position, including payment of both workman's compensation and unemployment premiums for the position by the employer.

Capital Investment Requirements

Capital means cash, equipment, inventory, other tangible property, cash equivalents and indebtedness secured by assets owned by the alien entrepreneur, provided that the alien entrepreneur is personally and primarily liable and that the assets of the new commercial enterprise upon which the petition is based are not used to secure any of the indebtedness. All capital shall be valued at fair-market value in United States dollars. Assets acquired, directly or indirectly, by unlawful means (such as criminal activities) shall not be considered capital for the purposes of section 203(b)(5) of the Act.

Note: Investment capital cannot be borrowed.

Required minimum investments are:

  • General. The minimum qualifying investment in the United States is $1 million.
  • Targeted Employment Area (High Unemployment or Rural Area). The minimum qualifying investment either within a high-unemployment area or rural area in the United States is $500,000.

A targeted employment area is an area that, at the time of investment, is a rural area or an area experiencing unemployment of at least 150 percent of the national average rate.

A rural area is any area outside a metropolitan statistical area (as designated by the Office of Management and Budget) or outside the boundary of any city or town having a population of 20,000 or more according to the decennial census.
